To me, it's about a musician who has fallen in love with a woman he's met one time, but is unable to forget about her, even with the trips on the roads and the hotel parties after the concerts.

i've been there with this song blasting in my head on a rainy, foggy March day when the resorts were abandoned and no one was to be seen but an occasional taxicab. and i sang tra la la la, sha la la la, wa la la la, la la la

A little trivia the Memory Motel is in Montauk on Long Island. It's near The Church Estate, which Andy Warhol bought in 1972.

the live version with Dave Matthews is good too. On that version Dave sings the "I hit the bottle and hit the sack and cried" part and it gives a new interpretation to the song. The way he sings the line it makes it seem like "hitting the sack" has nothing to do with sleeping but all to do with a bag of mary jane.\ just a thought., i dunno.

again....... read this story: http://profile.myspace.com/index.cfm?fuseaction=user.viewprofile&friendid=99402500 it says; " The second songs that was written while we were there was, "Memory Motel." Keith took the title from Ronnie, when he heard him speaking to me "I love this place. It reminds me of the good times we have shared; it's a memory motel." So that is how that song came about."
